Kerri Howard’s practice is focused on corporate/commercial, oil & gas and energy matters, mergers and acquisitions, intellectual property licensing and structured finance and derivative transactions.
Kerri specializes in corporate/commercial, oil & gas and energy-related transactions, including advising on merger, acquisition and disposition transactions (including asset exchange transactions), joint venture and partnership arrangements, reorganizations and restructurings, as well as a variety of oil, gas and power transactional matters. In addition to her general commercial experience advising on a variety of contractual and licensing matters, Kerri advises on the development of power projects (gas, wind, solar, hydro-electric) and conventional upstream and midstream oil and gas arrangements.
Kerri’s energy-related experience includes advising on gas and power supply arrangements, services agreements and natural gas storage and processing arrangements, petroleum and natural gas lease arrangements (including title review), participation agreements, farm-in and farmout agreements, royalty agreements, joint operating agreements and conventional upstream and midstream facility agreements. Kerri’s experience includes transactions involving both Canadian and international entities and assets. She has a strong understanding of the legal and regulatory environment for energy exploration and development in Canada.
Kerri also has significant experience in structured finance transactions, including the negotiation and drafting of physical and financial commodity (gas, oil, power, coal), interest rate and foreign exchange derivative agreements (ISDA, NAESB, GasEDI), and related credit support arrangements, drafting capacity, netting and collateral opinions in support of derivative arrangements, drafting and negotiating commodity purchase and sale agreements and netting agreements and advising on other structured finance-related matters. Kerri has advised a number of U.S. and international clients on Canadian-specific regulatory, documentary and other legal matters associated with derivatives arrangements. Kerri is a current member of the Derivatives Advisory Committee of the Alberta Securities Commission, advising on policy matters and regulation in respect of derivatives transactions.
